These Terms and Conditions (“Agreement”) govern the provision and use of courier and logistics services offered by MedRegion Courier Services LLC, doing business as MedRegion (“MedRegion,” “Company,” “we,” “our,” or “us”).
By requesting, scheduling, or using services provided by MedRegion, the client (“Client,” “you,” or “your”) agrees to be legally bound by the terms set forth in this Agreement.
1. Scope of Services
MedRegion provides professional courier and logistics services, including but not limited to:
- Medical specimen transportation
- Laboratory pickup and delivery
- Pharmacy and medication transport
- Healthcare logistics support
- Scheduled route courier services
- STAT and same-day deliveries
Services are provided to healthcare providers, laboratories, pharmacies, medical facilities, and other authorized clients within MedRegion’s designated service area.
All services are subject to availability and may be modified, limited, or discontinued at MedRegion’s sole discretion.
2. Service Requests and Acceptance
Service requests may be submitted through telephone, electronic communication, dispatch software, or other authorized methods.
MedRegion reserves the right, in its sole discretion, to accept or reject any service request, including but not limited to requests involving:
- Improperly packaged materials
- Hazardous or restricted materials
- Incomplete delivery information
- Safety or regulatory concerns
Acceptance of a delivery request does not constitute a guarantee of delivery time unless otherwise agreed to in writing.
3. Client Obligations
The Client represents and warrants that:
- All items tendered for transport are properly packaged, sealed, and labeled in accordance with applicable federal, state, and local regulations.
- All required documentation, including chain-of-custody records or specimen documentation, has been accurately completed prior to pickup.
- The Client has disclosed any special handling, temperature control, or safety requirements prior to dispatch.
- The materials tendered for transport are lawful and authorized for courier transport.
The Client shall be solely responsible for damages, delays, or regulatory violations resulting from improper packaging, labeling, or incomplete instructions.
4. Packaging and Safety Compliance
Clients must ensure that all transported materials comply with applicable safety and packaging standards, including but not limited to:
- Leak-proof primary containers
- Secondary containment such as biohazard specimen bags
- Absorbent materials when necessary
- Proper labeling and hazard identification
- Appropriate temperature control packaging when required
MedRegion reserves the right to refuse transport of any materials that, in the Company’s reasonable judgment, present a safety risk or regulatory concern.
5. Delivery Timeframes
Any stated delivery timeframes are estimates only and shall not be construed as guarantees unless expressly provided in a written service agreement.
MedRegion shall not be liable for delays caused by circumstances beyond its reasonable control, including but not limited to:
- Traffic congestion
- Weather conditions
- Road closures
- Mechanical failure
- Acts of God
- Facility accessibility issues
- Government actions or public emergencies
6. Chain of Custody and Documentation
MedRegion may maintain delivery documentation and chain-of-custody records as part of its operational procedures.
Clients are responsible for verifying delivery confirmations and maintaining their own records where required by applicable regulations.
7. Pricing and Payment Terms
Service fees may be determined based on factors including:
- Distance and mileage
- Delivery urgency
- Scheduled route services
- After-hours or emergency services
- Special handling requirements
Unless otherwise agreed in writing:
- Invoices are due within thirty (30) days from the invoice date.
- Late payments may be subject to service suspension.
- MedRegion reserves the right to assess reasonable late fees where permitted by law.
8. Cancellations
Clients must notify MedRegion promptly if a scheduled service must be canceled.
If a courier has already been dispatched or is en route to the pickup location, MedRegion reserves the right to charge a cancellation or dispatch fee.
9. Limitation of Liability
To the fullest extent permitted by Texas law, MedRegion’s liability for any claim arising out of or related to the services provided shall be strictly limited to the amount paid for the specific courier service giving rise to the claim.
Under no circumstances shall MedRegion be liable for:
- Indirect damages
- Incidental damages
- Consequential damages
- Loss of business or profits
- Delays caused by circumstances beyond MedRegion’s reasonable control
This limitation shall apply regardless of the legal theory asserted, including contract, negligence, or otherwise.
10. Confidentiality
MedRegion recognizes the sensitive nature of materials handled during courier operations.
All employees and contractors are expected to maintain strict confidentiality regarding:
- Client information
- Operational details
- Healthcare-related materials encountered during delivery
Confidential information shall not be disclosed except as required to perform services or as required by law.
11. Compliance with Laws and Regulations
Both MedRegion and the Client agree to comply with all applicable federal, state, and local laws governing courier services, transportation safety, and healthcare logistics.
12. Independent Contractor Relationship
Drivers and courier personnel engaged by MedRegion may operate as employees or independent contractors. Nothing in this Agreement shall be construed to create a partnership, joint venture, or employment relationship between the Client and MedRegion personnel.
13. Termination of Services
MedRegion reserves the right to suspend or terminate services immediately if:
- Payment obligations are not satisfied
- Safety concerns arise
- The Client violates these Terms and Conditions
- Continued service would expose MedRegion to legal or regulatory risk
Clients may terminate services at any time unless bound by a separate written service agreement.
14. Governing Law and Venue
This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict-of-law principles.
Any disputes arising from this Agreement shall be resolved in the appropriate courts located within the State of Texas.
15. Amendments
MedRegion reserves the right to modify these Terms and Conditions at any time. Updated terms shall become effective upon publication or written notice to clients.
Continued use of MedRegion services constitutes acceptance of the revised terms.
